Received from the Customer
Vendor Services Agreement
between the Customer and your company, as the Supplier
6.1Confidentiality.Each party shall keep the other party's Confidential Information secret during the Term and for three (3) years after it ends.
7.2Liability.The Supplier's liability under this Agreement shall be unlimited, whether in contract, tort or otherwise.
9.1Renewal.This Agreement renews automatically for further terms of three (3) years unless either party cancels at least 180 days before the end of the current term.
11Payment.The Customer shall pay each undisputed invoice within ninety (90) days of receipt.
14Governing law. This Agreement is governed by the laws of India, and the courts at Bengaluru have exclusive jurisdiction.
In witness whereof, the parties have signed this Agreement on the date written below.
In this agreement, “you” means anyone who signs contracts without a big legal department.
Founders
You sign vendor, customer and hiring paper yourself. Get a second reader on every contract before it goes out.
Legal teams
Write the playbook once. The first pass on routine paper happens before it reaches your desk.
Procurement
Supplier paper comes in on the supplier's terms. See where it differs from yours in under a minute.
HR
Offer letters, NDAs and consultant agreements drafted from approved templates and signed from a phone.
Sales operations
Order forms and MSAs move through discount and term approvals without a chain of emails.
Small businesses
No legal department, still careful. Templates, reminders and a record of who signed what, and when.
One record, from first draft to final renewal.

From a template or past contract
Clause 1Review
Checked against your playbook
Clause 2Approve
Routed by value and type
Clause 3Sign
Any device, full audit trail
Clause 3Store
Searchable, key terms extracted
Clause 4Remind
Before every notice deadline
Clause 5Start from wording you have already agreed to.
Choose a template, answer a few questions, and get a clean draft. Yesnsheall suggests clauses from contracts your team has already signed, so every new draft starts close to approved.
- 1.1Templates. NDA, vendor agreement, employment offer, service agreement, or your own Word files.
- 1.2Guided questions. Party, fee, term and notice period fill the right places, every time.
- 1.3Approved wording. AI suggests the version of a clause your legal team signed off most often.
Margin note: a draft built from approved clauses usually needs no redlines on your side.
Contract DraftsRead the other side's paper before they ask you to sign it.
Upload any contract, including the other side's paper. The AI compares every clause with your playbook, flags what is different, and writes the edit that brings it back in line.
- 2.1Playbook. Your standard, fallback and walk-away positions for each clause type.
- 2.2Flags with reasons. Each flag explains what is unusual and what your policy says.
- 2.3Suggested edits. Accept a redline with one click, or send it for approval.
The right people say yes, then everyone signs.
Internal approvals route themselves by contract value, type and department. Once approved, the contract goes out for e-signature on any device, with a full audit trail of every view and signature.
- 3.1Approval rules. Over $50,000 goes to Finance. Non-standard liability goes to Legal.
- 3.2Signing order. Sequential or parallel, with reminders until everyone has signed.
- 3.3Audit trail. Time, device, IP address and one-time code verification for each signer.
Every contract, findable in a sentence.
Every signed contract lands in the vault, searchable by party, type, value and date. Key terms are pulled out automatically, so you can answer questions without opening a single PDF.
- 4.1Plain search. Ask for "vendor contracts over $10,000 renewing before March".
- 4.2Key terms. Parties, value, term, renewal, notice and governing law on every record.
- 4.3Access control. Decide which teams can see HR, sales or vendor contracts.
Deadlines arrive with notice, not as a surprise invoice.
A calendar of renewals, expiries and notice deadlines, plus a list of the obligations inside each contract: deliveries, payments and reports, each with an owner and a due date.
- 5.1Notice deadlines. Reminders 90, 60 and 30 days before the last day to cancel.
- 5.2Obligations. What you owe and what you are owed, pulled from the contract text.
- 5.3Owners. Each date goes to the person responsible, not a shared inbox.
Your playbook is the rulebook. The AI only enforces it.
Set a standard position, an acceptable fallback, and the point where someone senior must approve. Every flag in a review traces back to one of these lines.

What we promise, written as plainly as a clause should be.
A tool, not a law firm
AI review is not legal advice. It shows where a contract differs from your rules. Important contracts should be checked by a qualified lawyer.
Every signature is evidenced
Each signature is recorded with time, device and identity checks in an audit trail attached to the signed copy.
Your contracts stay yours
Contracts are encrypted, access is limited to the people you choose, and they are never used to train AI for other customers.
Leave whenever you like
Export every contract, audit trail and key term at any time, or delete them. No lock-in clause.
Questions, answered in writing
A.1Are e-signatures legally valid in India?
Yes, for most commercial contracts. The Information Technology Act, 2000 recognises electronic signatures, and the Indian Contract Act does not require a wet signature for a contract to be binding.
Some documents are excluded under the First Schedule of the IT Act, including negotiable instruments other than cheques, powers of attorney, trusts, wills and contracts for the sale or conveyance of immovable property. We flag these document types when you send them, so they can be signed on paper instead.
A.2Is this legal advice?
No. Yesnsheall is a contract tool, not a law firm. AI review compares a contract against the playbook you set and points out what differs. Important or unusual contracts should still be checked by a qualified lawyer.
A.3Can we use our own templates?
Yes. Upload your Word templates and mark the fields that change, such as party names, fees, dates and notice periods. Approved clauses from your past contracts become suggestions inside the editor.
A.4Can the other party sign without an account?
Yes. Signers receive a secure link by email, verify with a one-time code, and sign from any browser or phone. They never need to create an account or pay for anything.
A.5Where are contracts stored?
Contracts are stored encrypted at rest and in transit. Access is limited to the people and teams you choose, every view and download is logged, and your contracts are never used to train AI for other customers.
A.6Can we import old contracts?
Yes. Upload signed PDFs or scans in bulk. Yesnsheall reads each one, pulls out the parties, value, start and end dates, renewal and notice terms, and adds them to your vault and renewal calendar.
